By creating an account or accessing any portion of our Services, you agree to be bound by these Terms of Service. If you do not agree with any part of these Terms, you must not use our Services.

1. Definitions

For purposes of these Terms:

• "Services" means all features, applications, content, and services provided by TheAppThat.
• "User Content" means any content you submit, upload, post, or transmit through the Services, including text, images, videos, audio, profile information, and other materials.

2. Eligibility and Account Registration

2.1 Age Requirements

You must be at least 18 years old to use our Services. By creating an account, you represent and warrant that you meet this age requirement. We reserve the right to request proof of age and immediately terminate accounts that do not meet this requirement.

2.2 Account Creation

To access most features, you must register for an account using accurate, current, and complete information. You agree to:

• Maintain and promptly update your account information
• Use only one account (duplicate accounts may be terminated)
• Not impersonate others or provide misleading information
• Not share your account credentials with others

2.3 Account Security

You are solely responsible for maintaining the confidentiality of your password and for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breaches. We are not liable for losses caused by unauthorized use of your account.

3. Platform Features and Services

3.1 Communication Features

Our platform provides communication features. You acknowledge that:

• Messages may be delivered through third-party infrastructure
• We cannot guarantee uninterrupted or error-free message delivery
• Activity indicators may be visible to other users
• Communications may have administrative controls and moderation

3.2 Matching Features

Our matching services allow users to connect with other users. By using matching features, you agree that:

• You will provide honest and accurate information about yourself
• You are solely responsible for interactions with other users
• We do not conduct criminal background checks or verify user identities
• You should exercise caution and use good judgment when meeting people
• We are not responsible for the conduct of users on or off the Platform
• You will not use Services for commercial solicitation

3.3 Content Creation Features

Platform features allow users to create and share content. Platform guidelines apply to all interactions, and users may be subject to additional rules.

3.4 Content Sharing

You may share content through the Platform. All User Content must comply with our content policies and applicable laws.

3.5 Transaction Features

The Platform may facilitate transactions between users. Separate terms may apply to commercial transactions, and you are responsible for compliance with all applicable tax and regulatory requirements.

4. User Content and Intellectual Property

4.1 Your Content Rights

You retain ownership of User Content you submit to the Platform. However, by posting User Content, you grant TheAppThat a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Services and our business operations.

4.2 Content Representations

By submitting User Content, you represent and warrant that:

• You own or have obtained all necessary rights to your User Content
• Your User Content does not infringe any third-party rights
• Your User Content complies with these Terms and applicable laws
• You have obtained necessary consents from individuals featured in your content

4.3 Platform Content

All content provided by TheAppThat, including design, text, graphics, logos, button icons, images, audio clips, software, and the compilation and organization of content (excluding User Content), is owned by TheAppThat or its licensors and protected by intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works without express written permission.

4.4 Content Moderation

We reserve the right (but have no obligation) to monitor, review, remove, or modify User Content at our sole discretion. We may remove content that violates these Terms, applicable laws, or our community standards without notice.

5. Acceptable Use Policy

5.1 Prohibited Conduct

You agree not to:

• Violate any laws, regulations, or third-party rights
• Harass, abuse, threaten, or intimidate other users
• Post sexually explicit, violent, or offensive content
• Impersonate others or misrepresent your affiliation
• Engage in spam, phishing, or fraudulent activities
• Distribute malware, viruses, or harmful code
• Scrape, crawl, or use automated tools to access the Services
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to systems or accounts
• Collect or harvest personal information about other users
• Use the Services for commercial purposes without authorization
• Encourage or facilitate violations of these Terms

5.2 Additional Prohibitions

When using matching features, you additionally agree not to:

• Request money from other users
• Engage in commercial solicitation or prostitution
• Use the Service if you are a registered sex offender
• Harass users who decline your advances
• Share explicit or intimate images without consent

5.3 Content Standards

User Content must not contain:

• Hate speech, discrimination, or promotion of violence
• Child sexual abuse material (CSAM) or exploitation
• Non-consensual intimate imagery
• Graphic violence or gore
• False or misleading information
• Copyright or trademark infringing material
• Private or confidential information of others

6. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our data practices as described in the Privacy Policy.

You acknowledge that interactions with other users may reveal personal information. Exercise caution and use discretion when sharing information on the Platform.

7. Payment Terms

7.1 Purchases and Subscriptions

Certain features may require payment. By making purchases, you agree to:

• Provide accurate payment information
• Authorize us to charge your payment method
• Pay all applicable fees and taxes
• Be bound by subscription auto-renewal terms where applicable

7.2 Refund Policy

Unless otherwise stated or required by law, all payments are final and non-refundable. Subscription cancellations will take effect at the end of the current billing period.

EU/EEA Consumers: You have a 14-day right of withdrawal from the date of purchase in accordance with the EU Consumer Rights Directive (2011/83/EU), unless you have expressly consented to the supply of digital content before the end of the withdrawal period and acknowledged that you thereby lose your right of withdrawal.

7.3 User Transactions

For transactions between users, TheAppThat may facilitate transactions but is not a party to agreements between users. Users are responsible for resolving disputes related to user transactions.

8. Third-Party Services and Links

The Services may contain links to third-party websites, applications, or services. We do not endorse, control, or assume responsibility for third-party content or services. Your use of third-party services is at your own risk and subject to their terms and policies.

9. Disclaimers and Limitations of Liability

9.1 Service Availability

The Services are provided "as-is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that:

• The Services will be uninterrupted, secure, or error-free
• Defects will be corrected
• The Services are free of viruses or harmful components
• Results from using the Services will be accurate or reliable

9.2 Limitation of Liability

To the maximum extent permitted by law, TheAppThat, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, use, goodwill, or other intangible losses resulting from:

• Your access to or use of (or inability to access or use) the Services
• Any conduct or content of other users or third parties
• Unauthorized access, use, or alteration of your content or communications
• Any interactions with other users, whether online or offline

Our total liability for all claims related to the Services shall not exceed the greater of $100 USD or the amount you paid us in the twelve months preceding the claim.

9.3 User Interaction Disclaimers

We do not conduct background checks on users. We do not verify the accuracy of user profiles or representations. You are solely responsible for your interactions with other users and should exercise appropriate caution.

10. Indemnification

You agree to indemnify, defend, and hold harmless TheAppThat, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another party
• Your interactions with other users

11. Account Termination and Suspension

11.1 Termination by You

You may terminate your account at any time through account settings or by contacting us. Upon termination, your right to use the Services ceases immediately.

11.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including if you:

• Breach these Terms
• Violate applicable laws
• Engage in fraudulent or harmful activity
• Receive multiple complaints from other users
• Request deletion of your account

11.3 Effects of Termination

Upon termination:

• Your access to the Services will cease
• We may delete your User Content and account data
• Outstanding payment obligations remain enforceable
• Provisions that by their nature should survive will remain in effect

12. Modifications to Terms and Services

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting updated Terms with a new effective date or through other communication methods. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

We may also modify, suspend, or discontinue any aspect of the Services at any time without liability to you, except as required by law.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to conflict of law principles.

13.2 Informal Resolution

Before filing a claim, you agree to contact us at support@email.theappthat.com and attempt to resolve the dispute informally for at least 30 days.

13.3 Binding Arbitration

Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in Maryland, and judgment on the award may be entered in any court having jurisdiction.

This arbitration clause does not apply to users in the European Economic Area, United Kingdom, Switzerland, or other jurisdictions where mandatory pre-dispute arbitration clauses are unenforceable under consumer protection law. Users in those jurisdictions may bring claims in their local courts in accordance with applicable law.

13.4 Class Action Waiver

You agree that disputes will be resolved on an individual basis only. You waive any right to participate in a class action or class-wide arbitration. This clause does not apply to users in the European Economic Area, United Kingdom, or other jurisdictions where class action waivers are prohibited by law.

13.5 Exceptions

Notwithstanding the foregoing, either party may seek equitable relief in court for infringement or misuse of intellectual property rights.

14. Digital Millennium Copyright Act (DMCA)

We respect intellectual property rights. If you believe content on our Platform infringes your copyright, please submit a DMCA notice to our designated agent with:

• Identification of the copyrighted work
• Identification of the infringing material
• Your contact information
• A statement of good faith belief
• A statement of accuracy under penalty of perjury
• Physical or electronic signature

15. Export Controls

The Services may be subject to U.S. export control laws. You agree not to export, re-export, or transfer the Services to prohibited countries or individuals in violation of applicable laws.

16. Severability and Waiver

If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

17. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to when using specific features, constitute the entire agreement between you and TheAppThat regarding the Services and supersede all prior agreements and understandings.

18. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms without restriction.

19. Feedback and Suggestions

We welcome your feedback and suggestions. By providing feedback, you grant us a perpetual, worldwide, royalty-free, irrevocable license to use, incorporate, and exploit the feedback without compensation or attribution.
